Quick answer. After an Amazon inauthentic deactivation, Amazon can withhold your payments for as long as it determines the related risks persist, and the balance starts moving again only when a successful appeal closes that risk. The Anti-Counterfeiting Policy says Amazon does not pay sellers until it is confident customers received the authentic products they ordered. The Business Solutions Agreement goes further for counterfeit cases and allows permanent withholding, with an appeal, and says that successfully completing the appeal is required to be eligible for further disbursements. The one lever you control over the money is an appeal file that traces every cited unit to a legitimate supplier, filed fast and answered the same day Amazon asks for more.
Why Amazon Inauthentic Actions Leave Funds Withheld
The Amazon Anti-Counterfeiting Policy opens with the consequence most sellers learn too late. Failure to follow it may result in loss of selling privileges, funds being withheld and disposal of inventory in Amazon’s possession. If you sell or supply inauthentic products, Amazon states it may immediately suspend or terminate your selling account and any related accounts. It may also dispose of inauthentic products in its fulfillment centers at your expense. The policy then states that Amazon may withhold payments if it determines an account has been used to sell inauthentic goods, commit fraud or engage in other illegal activity.
Most sellers meet the problem through a Product Quality and Authenticity performance notification. The cited ASINs lose their offers, the violation lands on the Account Health page, and the notice names the policy. Buyer complaints that an item looks different from the listing trigger it. So do rights owner complaints about unauthorized resale and Amazon’s own review of suspect listings. Units bought from liquidators, retail stores or distributors with no tie to the brand are the usual source.
The Amazon Services Business Solutions Agreement turns those policy statements into contract terms. Two clauses in its Service Fee Payments and Receipt of Sales Proceeds section do the work.
The risk clause
If Amazon determines that your actions or performance may result in returns, chargebacks, claims, disputes, violations of its terms or policies, violations of law or other risks, it may withhold any payments to you. It does so in its sole discretion, for as long as it determines any related risks to Amazon or third parties persist. One inauthentic complaint opens several of those risks together. Buyers can request refunds. A-to-z claims can follow. A rights owner can escalate, and the policy violation sits on the account until it is resolved.
The permanent withholding clause
To be eligible for disbursement, the agreement requires you to refrain from deceptive, fraudulent or illegal activity and remain in compliance with Program Policies. Amazon may permanently withhold payments if it determines your account, or any other account you have operated, was used for that activity. The clause names the sale of counterfeit or stolen goods expressly. It also covers use of the services that has harmed or might harm other sellers, customers or Amazon’s legitimate interests. The same clause promises an avenue to appeal the fund withholding decision through Amazon’s policies. Eligibility for further disbursements depends on completing that appeal successfully.
Related accounts and their balances
The permanent withholding clause reaches past the account that took the complaint. It applies to any other account you have operated, and the Anti-Counterfeiting Policy names related accounts in its suspension language. A deactivation on one storefront can freeze the balance on a second storefront you control. Sellers with a second brand account should read our breakdown of funds held over a related account before contacting Seller Support about either balance.
Suspension, termination and the notice periods
The Term and Termination section lets Amazon end the agreement for convenience with 30 days’ advance notice. It also lets Amazon suspend or terminate immediately in listed cases. One is a material breach not cured within 7 days of a cure notice. Another is a determination that the account has been or may be used for deceptive, fraudulent or illegal activity. Inauthentic cases nearly always arrive as an immediate deactivation with an appeal path. Read the notice for the basis Amazon relied on, because the same basis governs the appeal and the funds.
The sequence follows from the contract. The complaint opens the risk, the appeal proves the risk has closed, and the money follows the appeal. For the appeal itself, our parent article on how to appeal an Amazon inauthentic item complaint covers the plan of action from the first notice.
Reserve Versus Withheld Balance
Sellers use reserve and withheld as if they meant the same thing. In the agreement they are separate tools with separate exits, and telling them apart tells you what will release your money.
| Feature | Reserve | Withheld payments |
|---|---|---|
| Contract basis | Amazon may establish a reserve based on its assessment of risks posed by your actions or performance and modify the amount at its discretion | Amazon may withhold payments while it determines related risks persist, or permanently for deceptive, fraudulent or illegal activity |
| Typical trigger | Returns, refunds and claims on recent orders | An enforcement action such as an inauthentic deactivation |
| Account status | Usually active and selling | Usually suspended or deactivated |
| What releases it | Orders aging out and claims closing | A successful appeal that resolves the violation |
| How it shows in Seller Central | A deduction from the available balance in each settlement | A balance that stops disbursing altogether |
Section S-5, Remittance of Sales Proceeds and Refunds, explains why both can sit in one number. Amazon remits your available balance on a bi-weekly (14 day) basis, or more often at its option. The available balance is your unremitted sales proceeds minus referral fees, other fees and the amounts Amazon requires you to keep in the account. Withheld payments sit inside that last category. Individual plan sellers who registered after October 30, 2011 also have proceeds from the 14-day period before each remittance date excluded from the payout.
Why the difference changes your plan
A reserve on a live account is an operations problem. Bring refund and claim rates down and the reserve shrinks as orders age. A withheld balance on a deactivated account does not shrink with time. Waiting 30, 60 or 90 days changes nothing about the risk Amazon recorded, so the appeal is the only exit.
Payout timeline reference table
| Stage | What happens to funds | What you do |
|---|---|---|
| Complaint received | Offers removed and the violation recorded while the balance may keep disbursing | Pull supplier invoices for every cited ASIN that day |
| Deactivation | Disbursements stop and the balance is held while risk persists | Save the notice and open the appeal file |
| Appeal submitted | The balance stays held during review | Answer every follow-up request within one business day |
| Appeal accepted | The account is reinstated and the held balance rejoins the remittance cycle, minus any ordinary reserve | Confirm the deposit method and the next remittance date |
| Appeal denied | The balance remains held and permanent withholding stays possible | Fix the stated gap and resubmit with new evidence |
Copyright and trademark strikes follow a similar arc, and the patterns are laid out in our articles on repeated copyright complaints and deactivation and repeat infringer termination.
Sellers already sitting on a frozen balance can bring the notice to our Amazon suspension desk, where the invoice package and the appeal are built together.
How the Appeal Outcome Affects Release
The appeal controls the money because the agreement ties disbursement eligibility to compliance and to completing the appeal process. The Anti-Counterfeiting Policy adds the other half. Amazon reviews the documents you submit to verify authenticity or selling authorization, and if the products are confirmed genuine it removes the enforcement claims from your account.
Steps that move a held balance
- Day 1, freeze the record. Download the notification, the Account Health page, the latest settlement report and an inventory report by ASIN. These four documents fix the balance and stock position at the moment of deactivation.
- Day 1 to 2, match units to invoices. For each cited ASIN, total units sold and units in stock over the past 365 days and set them against supplier invoice quantities. Any shortfall is your root cause.
- Day 2 to 3, contain the gap. Close offers on undocumented units, request removal or quarantine of that stock and stop buying from the source that created the gap.
- Day 3 to 4, write the plan of action. Name the root cause, the corrective steps with unit counts and the preventive controls with an owner for each.
- Day 4 to 5, submit through Seller Central. Upload the invoices on the appeal page, never by email, and attach the letter of authorization where one exists.
- After submission, answer fast. Reply to every request for clearer copies or supplier contact details within one business day.
- After reinstatement, reconcile the payout. Compare the first disbursement with the settlement report saved on day 1 and open a case for any gap.
If the appeal succeeds
Reinstatement puts the account back on the normal disbursement cycle once holds lift. Across the cases we handle, the held balance rejoins the regular remittance cycle after reinstatement, though Amazon can still keep an ordinary reserve against recent orders. The first payout is often smaller than the full held figure for that reason. Confirm that the bank account on file is still verified. Under section S-5, providing or changing bank account information can defer the Remittance Calculation Date by up to 14 days. Our article on funds still withheld after reinstatement covers the case where money stays frozen on a live account.
If the appeal is denied
A denial leaves the risk open, so the balance stays put. Read the stated reason in Performance Notifications, close that one gap and resubmit with new evidence rather than the same file. Sellers whose invoices were turned down should work through our list of reasons inauthentic appeal invoices get rejected before filing again. A balance that stays held after a final decision is a separate problem, covered in our article on funds after a permanent deactivation.
What the reviewer checks in your invoices
The reviewer wants to see the exact units sold traced to a legitimate source. Amazon’s invoice requirements for appealing a policy violation set the bar.
- Supplier details. Name, phone number, address and website of the supplier.
- Issue date. Within the past 365 days before you received the performance notification.
- Quantity. Enough to cover sales and in-stock inventory for each cited ASIN over the past 365 days.
- Product identifiers. Product names, model numbers or a UPC, EAN or ISBN, with variation details that match the listing.
- Format. PDF, JPG, PNG or GIF, no larger than 10MB per file.
- Completed sale. A finalized, fulfilled transaction. Pricing may be removed, but nothing else.
The same page lists what Amazon refuses. Invoices sent by email, sales quotes and pro forma invoices are out. So are self-issued invoices, files in .xlsx or .docx format and anything illegible or altered. Retail receipts and invoices from companies with no link to the brand are the two failures we see most on inauthentic files.
The plan of action we build
- Position. The units are genuine and came through a documented supply chain. The concern traces to a documentation or receiving gap that is now closed.
- Root cause. The specific gap, such as a missing invoice, a receiving error or mixed inventory, with the ASINs and supplier named.
- Corrective action. Offers removed, stock quarantined and invoices reconciled, each with unit counts.
- Preventive measures. Verified suppliers, invoices checked before purchase and receiving checks, each assigned to a person.
- Evidence. Supplier invoices and authorization letters that match the brand and the quantities.
- Request. Removal of the claim, reinstatement and release of the held balance.
First complaint versus a pattern
A first complaint on a clean account with full invoices is the strongest position you will ever hold. The Account Health Rating program policy scores accounts from 200 to 1,000 as Healthy, 100 to 199 as At Risk and 99 or lower as Unhealthy. An Unhealthy account is either eligible for deactivation or already deactivated. The rating reflects policy adherence over the last 180 days. Repeat violations of one policy degrade the rating faster, and reaching the maximum number of repeat violations for a single policy in a 180-day period can put the account at immediate risk of deactivation. Amazon says the ceiling varies with severity and drops to as few as two violations for higher severity policies. A second inauthentic complaint inside that window makes it much harder to argue that the risk behind the hold has ended. Our article on repeat inauthentic complaints and termination covers the escalation path.
Inventory Disposal and Its Cost
The Anti-Counterfeiting Policy allows Amazon to dispose of inauthentic products in its fulfillment centers at your expense. That stacks a second loss on top of the frozen balance. You can lose the stock and pay to have it destroyed.
What disposal does to your numbers
- Inventory value. Units Amazon determines are inauthentic may never come back. Carry them at a written-down value until the outcome is known.
- Disposal fees. Charges for disposal at your expense come out of the account, which lowers whatever balance is eventually released.
- Stock outside the complaint. Units of other ASINs and units with clean invoices are a separate category. Track them on their own line so the appeal can ask for them to be treated as documented stock.
Protecting documented stock
Receiving records are what separate documented units from questioned ones. When every inbound lot was received against a specific invoice line, you can show which units came from which supplier, and the appeal can ask Amazon to treat the documented units on their own terms. Mixed inventory, where stock from several sources was combined under one listing, removes that option and exposes the whole lot. Our article on authorized sourcing that prevents inauthentic complaints sets out the receiving controls we install.
A test buy changes the evidence picture, because the brand holds a physical unit and its own findings. Our article on counterfeit complaints after a test buy explains how to answer a complaint built on a purchased unit.
Sourcing Models and Funds Risk
The sourcing model behind the complaint sets how strong the appeal can be, and so how likely the balance is to return.
Online and retail arbitrage
Retail receipts are not accepted as supply chain proof. An arbitrage seller with a cited ASIN usually cannot produce an invoice that meets the 365-day quantity test, so the appeal is weak and the funds risk is high. Limit arbitrage to brands that do not restrict resale, and move any product that sells well onto a direct account with the brand or an authorized distributor.
Wholesale through gray-market distributors
The invoices exist, but they do not trace to the brand. The appeal turns on whether the distributor can prove its own authorization. Get a letter of authorization before the first purchase order and confirm it with the brand directly where you can.
Liquidation and returns pallets
Condition and provenance are both hard to prove here, and disposal exposure is highest because whole lots can be questioned at once. Avoid brands that enforce against resellers, inspect every unit against genuine packaging and never list opened or incomplete units as new.
Brand-authorized resale
Sellers who buy from the brand or its authorized distributor, with matching invoices and an authorization letter on file, can answer a complaint the same day. That speed is what keeps a hold measured in days rather than months.
Records That Keep a Funds Claim Moving
Records decide the outcome whether you are still appealing or chasing release after reinstatement. Open the file on the day the first complaint arrives.
Funds release document checklist for Amazon inauthentic funds
- The deactivation notice and every performance notification, saved with dates.
- Supplier invoices for every cited ASIN that meet Amazon’s invoice requirements.
- Letters of authorization from the brand or distributor.
- Sales records for each cited ASIN for the past 365 days.
- Inventory reports showing units at Amazon by ASIN on the deactivation date.
- Receiving records tying inbound lots to invoice lines.
- Settlement reports showing the balance at deactivation and each missed disbursement date.
- Every appeal, every response and every Seller Support case number.
- Records of any disposal charges applied to the account.
Why the paper trail carries weight
Your relationship with Amazon is a contract. The Business Solutions Agreement sets when payments may be withheld, ties eligibility to compliance and the appeal, and fixes the 14-day remittance cycle. If the appeal succeeds and funds stay frozen, your records show what was held, when and on what stated basis. That is the core of a written funds review request. If the appeal fails, the same records are what any later review of the withholding depends on.
A funds review request template
Once the account is reinstated and the balance has not moved after the next remittance date, open a Seller Support case. Keep it factual and short, and save the case number and every reply. A working structure looks like this.
Subject line. Release of balance held since deactivation on MM/DD/YYYY. Body. Our account was reinstated on MM/DD/YYYY after the inauthentic appeal for ASINs B0XXXXXXXX and B0YYYYYYYY was accepted. The balance at deactivation was $X, per the settlement report dated MM/DD/YYYY. Disbursements scheduled for MM/DD and MM/DD were not made, and $Y was deducted as shown in the latest report. Please confirm the basis on which any amount remains held and the date it will be remitted.
A Composite Case From Held Balance to Release
This walkthrough is a composite built from patterns across many accounts. It describes no single client.
A wholesale seller with a steady six-figure balance receives inauthentic complaints on 3 ASINs from one brand within a few weeks, and the account is deactivated. Disbursements stop. The owner’s first move is to ask Seller Support when the money will be paid. That request goes nowhere, because the agreement ties the money to the risk and the risk is still open.
The work shifts to the appeal. The team pulls every invoice for the 3 ASINs and totals units against 365 days of sales and current stock. Two ASINs reconcile fully to an authorized distributor. The third has a gap, a batch bought from a clearance seller with only a web receipt. The appeal names mixed inventory on that ASIN as the root cause. It documents removal of the undocumented units and supplies the distributor’s invoices and authorization letter for the rest. It also describes the new receiving control that keeps each supplier’s stock separate. A request for clearer copies of 2 invoices is answered the same day.
After reinstatement the held balance rejoins the remittance cycle. The first payout comes in below the total, because an ordinary reserve still covers recent orders and disposal charges for the questioned units are deducted. The owner reconciles the payout against the settlement reports saved on day 1, and the remaining reserve releases as those orders age. The appeal closed the risk, and the money followed it.
US, EU and UK Rules on Withheld Funds
The US Anti-Counterfeiting Policy page applies to selling in the United States, and payment withholding follows the Business Solutions Agreement that governs your account. Sellers on European or UK storefronts should read the policy and agreement versions shown inside their own Seller Central account.
European Union
Article 17 of the Digital Services Act, Regulation (EU) 2022/2065, requires a clear and specific statement of reasons for restrictions, and it lists the suspension, termination or other restriction of monetary payments expressly. The regulation has applied since 17 February 2024. Article 20 gives you access to the internal complaint system for at least six months after the decision, and Article 21 lets you take an unresolved complaint to a certified out-of-court dispute settlement body. The Platform to Business Regulation, Regulation (EU) 2019/1150, applied from 12 July 2020. Its Article 4 requires a statement of reasons when a listing is restricted or suspended, and at least 30 days’ notice with reasons before a full termination, with exceptions that include repeated infringement of the terms.
United Kingdom
The UK kept the Platform to Business rules after Brexit, and the retained Article 4 on legislation.gov.uk carries the same statement of reasons and the 30-day termination notice. On resale, section 12 of the Trade Marks Act 1994 says a registered mark is not infringed by use on goods put on the market in the United Kingdom or the European Economic Area by the proprietor or with consent. That protection gives way where the proprietor has legitimate reasons to object, in particular where the condition of the goods has been changed or impaired.
United States
The first-sale doctrine in 17 U.S.C. 109 lets the owner of a lawfully made copy sell it without the copyright owner’s permission. The Supreme Court applied that doctrine to imported copies in Quality King Distributors, Inc. v. L’anza Research Int’l, Inc., 523 U.S. 135 (1998). On trademarks, Champion Spark Plug Co. v. Sanders, 331 U.S. 125 (1947), supports resale of genuine goods with honest disclosure of their condition. Materially different goods can still support a trademark claim. In the EU, Article 15 of Regulation (EU) 2017/1001 exhausts trade mark rights for goods placed on the EEA market by the owner or with consent, subject to the same changed or impaired condition exception.
None of these laws forces Amazon to release a balance that its agreement lets it hold. They give you the right to know the reasons and a route to contest them, which strengthens the appeal file. Treat this section as a map of the rules, and get counsel on any dispute that turns on a specific trademark or contract question. When a rights owner filed the complaint, our rights owner complaint service works the brand side of the dispute.
How to Keep an Inauthentic Hold Short
Prevention is a filing habit. Keep authorized supply chain invoices on file for every ASIN before the first unit ships, so an appeal can go in within 48 hours of a complaint. Review Account Health weekly during any 180-day window that already contains a violation. Reconcile invoice quantities against sales each quarter, so the 365-day quantity test never surprises you. For counterfeit cases with a different fact pattern, our article on counterfeit funds withheld covers the variations.
Frequently Asked Questions
Will Amazon release my funds after an inauthentic deactivation?
Amazon releases held funds when a successful appeal resolves the violation and it determines the related risks have ended. The Business Solutions Agreement makes successful completion of the appeal process a condition of further disbursements where payments are withheld for serious violations.
How long can Amazon hold my money?
The agreement lets Amazon withhold payments for as long as it determines related risks persist. For deceptive, fraudulent or illegal activity, including the sale of counterfeit goods, it may withhold permanently, with an appeal available.
Does reinstatement release the funds?
Reinstatement returns the account to the normal disbursement cycle once holds are lifted. An ordinary reserve can still apply to recent orders, and a bank account change can defer the next remittance calculation by up to 14 days.
Can Amazon keep my inventory too?
Yes. The Anti-Counterfeiting Policy lets Amazon dispose of inauthentic products in its fulfillment centers at your expense. Receiving records that separate documented units from cited ones protect the stock outside the complaint.
What records help a funds claim?
Supplier invoices, 365 days of sales records, settlement reports and every appeal and response carry a funds claim. Add authorization letters, inventory reports by ASIN and any disposal charges.
Do EU or UK sellers get any extra protection?
EU and UK sellers are entitled to a statement of reasons for a payment restriction and at least 30 days’ notice before a full termination, with listed exceptions. In the EU, the Digital Services Act also opens a 6-month internal complaint window and certified out-of-court dispute settlement.
