Can You Sue Amazon Over a Suspension or Held Funds? What the Seller Agreement Says About Disputes

By April 1, 2026November 2nd, 2026No Comments26 min read

Quick answer. Usually not in an ordinary courtroom. The Amazon Services Business Solutions Agreement says disputes with Amazon “will be resolved by binding arbitration” instead of in court, on an individual basis, before the American Arbitration Association (AAA) under its commercial rules. The exceptions are narrow, covering qualifying small claims in the agreement’s governing courts and certain intellectual property and counterfeit claims. Before any arbitration you must send a written notice of your claim to Amazon’s registered agent. For a suspension or held funds, the Seller Central appeal and the separate funds appeal come first, and the record you build there is what any later dispute runs on. This is educational information, not legal advice. Speak with a licensed attorney.

When an account is deactivated and the balance stops paying out, many sellers look for a lawyer and a courthouse. The money is real and Amazon’s explanation is often short. But the relationship is a contract, and that contract decides where disputes go, which law applies, what can be claimed and what has to happen first. Sellers who skip it spend money on the wrong route or weaken the appeal that could have solved the problem.

What the Business Solutions Agreement says about disputes

Every seller accepts the Amazon Services Business Solutions Agreement (the BSA) at registration. The quotes below are from the US version in Seller Central. Amazon revises it, so read the live copy on the day you need it.

The warning at the top of the agreement

Amazon puts the point up front. Near the start of the General Terms, in capital letters, the agreement states that it “CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT REQUIRES YOU TO ARBITRATE ALL DISPUTES YOU HAVE WITH AMAZON ON AN INDIVIDUAL BASIS.”

Section 20, Dispute Resolution

The detail sits in Section 20 of the General Terms. It does the following.

  • Chooses the law. The agreement is governed by the “Governing Laws,” which for the United States are defined as the laws of the State of Washington together with the Federal Arbitration Act and other applicable federal law.
  • Sends disputes to arbitration. Amazon and the seller both consent that any dispute “relating in any way to this Agreement or your use of the Services will be resolved by binding arbitration,” instead of in court.
  • Keeps three exceptions. Either party may elect small claims court in a Governing Court if the claims qualify. Either party may sue in the Governing Courts to stop infringement or other misuse of intellectual property. Amazon may bring claims about a seller’s sale of counterfeit products in the Governing Courts or in the court of the seller’s domicile.
  • Names the courts. For the United States, “Governing Courts” means the state or federal courts in King County, Washington.
  • Requires notice first. Before arbitration begins, the seller “must send a letter notifying us of your intent to pursue arbitration and describing your claim” to Amazon’s registered agent, CSC, at the Tumwater, Washington address printed in the agreement.
  • Picks the forum. Arbitration is conducted by the AAA under its commercial rules, and the AAA appoints an arbitrator with an active license to practice law in a US jurisdiction.
  • Limits the relief to your account. The seller can obtain relief, and the arbitrator is only authorized to award relief, “exclusively with respect to an account you have registered or Services you elect to use.”
  • Bars group actions. Proceedings are individual only, not class, consolidated or representative. If a claim does end up in court, both sides waive a jury trial.

What arbitration can and cannot do, in Amazon’s own words

The agreement is candid about the trade. It says “There is no judge or jury in arbitration, and court review of an arbitration award is limited.” It also says an arbitrator “can award the same damages and relief as a court,” including injunctive and declaratory relief, and must follow the agreement’s terms as a court would. Arbitration is a real forum with real remedies, and the contract you signed is its rulebook.

Arbitration versus court, and which doors are open

Sellers often hear that they “cannot sue Amazon.” That is close, but the agreement leaves a few specific doors open, each with its own conditions.

RouteWhen the agreement allows itWhat to know before choosing it
AAA arbitrationThe default for any dispute relating to the agreement or your use of the servicesNotice letter to the registered agent first. AAA commercial rules. Individual claims only. Fees follow the AAA commercial fee schedule
Small claims courtEither party may elect it in a Governing Court “if your claims qualify”The Governing Courts are in King County, Washington, so the small claims department of a Washington district court applies. Washington sets dollar limits by statute
Court action over intellectual propertyEither party may sue in the Governing Courts to stop infringement or other misuse of intellectual propertyThis is about enjoining IP misuse, not about getting an account or a balance back
Class or group actionNot allowed. Proceedings are individual onlyJoining with other sellers in one case is waived by the agreement

The small claims door, and its size

Because the Governing Courts are in King County, Washington, the small claims option points to the small claims department of a Washington district court. Washington law, RCW 12.40.010, limits that department to money claims that do not exceed ten thousand dollars when brought by a natural person, defined as a human being, and five thousand dollars in all other cases. A seller registered as a business entity would generally fall in the second group. Whether a particular claim qualifies, and in which court, is a question for a Washington attorney, but the statute shows the scale. Small claims is built for modest sums, not a frozen six figure balance.

Why the Federal Arbitration Act matters

The agreement names the Federal Arbitration Act as part of its governing law. Under 9 U.S.C. 2, a written arbitration provision in a contract involving commerce “shall be valid, irrevocable, and enforceable,” subject to ordinary contract defenses. A seller who files a regular lawsuit over an account or balance should expect Amazon to ask the court to send it to arbitration. Whether any argument against enforcement exists is a question for counsel.

What Amazon can do under the agreement, and why it shapes any claim

A dispute is only as strong as the gap between what Amazon did and what the agreement allowed. Many sellers find that what felt arbitrary was written down.

Suspension and termination, Section 3

Section 3 lets Amazon terminate for convenience with 30 days’ advance notice. It also lets Amazon suspend or terminate immediately if it determines any of the following. The seller materially breached the agreement and failed to cure within 7 days of a cure notice (a period Amazon may reduce or waive where the breach exposes it to third party liability). The account has been or may be used for deceptive, fraudulent or illegal activity. The seller’s use has harmed or might harm others or Amazon. The Account Health Rating fell below the published deactivation threshold. Or the law requires it.

Section 3 also says Amazon will promptly notify the seller of a suspension or termination, “indicating the reason and any options to appeal,” except where it believes that information would hinder an investigation of deceptive, fraudulent or illegal activity or help someone get around its safeguards. That notice is the first document in your record.

Withholding payments, Section 2

Held funds are governed by the payments section. It says that if Amazon determines your actions or performance may result in returns, chargebacks, claims, disputes, policy or legal violations or other risks, it “may in our sole discretion withhold any payments to you for as long as we determine any related risks to Amazon or third parties persist.” It allows offsets against amounts you owe. It allows Amazon to permanently withhold payments if it determines an account was used for deceptive, fraudulent or illegal activity, including the sale of counterfeit or stolen goods. The same paragraph says Amazon will offer an avenue to appeal its fund withholding decision, and that successfully completing that appeal is required to be eligible for further disbursements.

The liability cap

The Limitation of Liability section excludes liability for lost profit, revenue, business or data and for consequential or punitive damages. It caps Amazon’s aggregate liability at the total amounts you paid Amazon in the prior six months for the service giving rise to the claim. How that applies to money that is your own sales proceeds is a question for an attorney. At a minimum, a claim for lost future profits faces a written exclusion.

The agreement can change

Section 15 says Amazon will give at least 15 days’ advance notice of changes, but may make some changes with immediate effect for legal, regulatory, fraud and abuse prevention or security reasons. Continued use after a change counts as acceptance. Save a dated copy of the agreement as it stood when your problem began, and another on the day you take any formal step.

Held funds and the separate appeal that comes before any dispute

Many sellers who ask about suing Amazon are asking about money. Amazon’s Funds disbursement eligibility policy sets a path for withheld balances that runs alongside the account appeal.

What the policy says

If Amazon deactivates an account under Section 3 and determines the seller’s actions may result in risks to Amazon or third parties, it may withhold funds in the account. The policy says those funds may cover liability and offset amounts owed, with examples such as product returns or refunds, A-to-z claims, inventory removal costs, outstanding fees and damages. If the account is reinstated through the appeal, funds are released and disbursed on the normal disbursement schedule.

If the appeal is not decided in the seller’s favor, or the seller chooses not to appeal, the seller can separately appeal for withheld funds by contacting disbursement-appeals@amazon.com “at any point after 60 days from the date when your account was deactivated.” Amazon says it will release remaining funds, less offsets, after evaluating the account for deceptive, fraudulent or illegal activity and confirming identity. It may ask for information about identity, financial instruments or supply chain and may validate it with third party services or government agencies. The policy also says Amazon may permanently withhold payments if it finds deceptive, fraudulent, harmful or illegal activity, abuse of its systems or repeated violations, or if it cannot confirm identity.

Two kinds of held money

Sort the balance into one of two situations. In the first, the funds follow the account. They are held because it is deactivated and released on the normal schedule if it is reinstated. In the second, the funds stand alone because the account is closed or the appeal failed, and the money has its own path through the disbursement appeal. Chasing money while ignoring a winnable appeal wastes time, and so does appealing a closed account while the funds window sits unused. Why the appeal path comes first

Work the appeal properly before any formal dispute, for three practical reasons.

The agreement itself points there

Section 3 promises a notice with “any options to appeal.” The payments section promises an avenue to appeal fund withholding and says completing it is required for further disbursements. A seller who skips those steps and goes straight to a dispute is asking an arbitrator, who must follow the agreement as a court would, to step over a process the agreement put in place.

It is the fastest route Amazon offers

Amazon’s help page on appealing a deactivation tells sellers to go to Account Health in Seller Central, click Reactivate your account, and follow the instructions, which may include a questionnaire, acknowledging a violation, a quiz or supporting documents. After submitting, sellers watch email for a decision and use View Appeal to send more information if Amazon asks. Amazon says to “expect a reply to your appeal within two days.” That is a reply, not a promised decision, but no formal dispute moves that fast. Professional sellers can also use the Contact us button on the Account Health page to reach Account Health Support, which Amazon says is available 7 days a week. For how long the full process can run, see how long appealing on Amazon takes.

The appeal builds the evidence

Every notice, submission and reply becomes part of the record. If the case goes further, an attorney will want to see what Amazon said, what you sent, what you corrected and when. A file of repeated, emotional, near identical appeals hurts you.

A good appeal follows a structure Amazon reviewers can approve quickly. It states what went wrong and why, what has already been fixed with proof, and what will stop it happening again with a named owner and date. Our guide to writing a plan of action that gets read covers that in depth, and our escalations guide explains what to do when the standard path stalls.

What arbitration involves, at a high level

Arbitration is a private proceeding in which a neutral arbitrator hears both sides and issues a binding award. The general shape under the BSA follows. The detail, strategy and every document belong to your attorney.

The notice letter

The agreement requires a letter to Amazon’s registered agent stating the intent to arbitrate and describing the claim. The letter frames the dispute, so prepare it with counsel from the documented record.

Filing with the AAA

The AAA runs the arbitration under its commercial rules and appoints an arbitrator who holds an active US law license. Under the agreement, the arbitrator decides questions about the arbitrator’s own jurisdiction, including the scope and validity of the arbitration agreement and whether a claim is arbitrable.

Expedited or standard

The agreement says the AAA’s expedited procedures apply only to cases seeking exclusively monetary relief under $50,000, and in those cases the hearing will be scheduled within 90 days of the arbitrator’s appointment. A case seeking more than $50,000, or something other than money such as account reinstatement, runs under the standard commercial procedures, and the agreement gives no hearing timeline for those.

The award and what comes after

The agreement says the award may be appealed under the AAA’s Optional Appellate Arbitration Rules. Court review is limited, as Amazon itself says. Under the Federal Arbitration Act, 9 U.S.C. 10, a court may vacate an award only on narrow grounds. These include an award “procured by corruption, fraud, or undue means,” evident partiality or corruption in the arbitrator, certain misconduct that prejudiced a party, or an arbitrator who “exceeded their powers.” Under 9 U.S.C. 12, notice of a motion to vacate, modify or correct an award must be served “within three months after the award is filed or delivered.” The hearing is the main event, so the record matters most.

Realistic costs and timelines

Sellers want two numbers, cost and time. The honest answers are narrow, because the agreement points to fee schedules and rules that sit outside Seller Central and change.

What the agreement says about fees

The BSA says “the AAA commercial fee schedule governs the payment of all filing, administration and arbitrator fees.” It states no dollar figure, and we print none because those fees change with claim size and type. Ask the AAA for its current schedule, and ask your attorney for a full estimate that includes their own fees.

What the agreement says about time

The only hearing timeline in the agreement is for expedited cases under $50,000, where the hearing is scheduled within 90 days of the arbitrator’s appointment. That clock starts at appointment, and it is a scheduling rule, not a decision date. No total duration is set for standard cases. Anyone who quotes one is estimating.

Where a court is open, what filing costs

Where federal court is open, such as an action to enjoin intellectual property misuse, a civil action costs a $350 filing fee under 28 U.S.C. 1914(a) plus a $55 administrative fee under the District Court Miscellaneous Fee Schedule effective December 1, 2023. Attorney fees are separate and usually far larger.

A worked example, with hypothetical numbers

Take a hypothetical seller, a small LLC, deactivated on 3 March with $38,400 held and a notice citing a supply chain concern. Instead of researching arbitration, the seller saves the notice and pulls invoices for every flagged ASIN. Two ASINs came from a wholesaler with no genuine distribution chain. The root cause is a sourcing control that never existed. The seller removes those listings, documents it, sets a written supplier vetting rule with a named owner and start date, and appeals. If the account is reinstated, the funds policy says the balance is released on the normal schedule, less offsets such as refunds or claims.

If the appeal fails, 2 May is 60 days after deactivation, and the funds appeal is ready with identity, bank and supply chain documents. Only if that also fails, and a material amount appears withheld without a basis the agreement supports, does an attorney weigh claim size against the $50,000 expedited threshold, the AAA fee schedule, legal fees, offsets and the liability limits. The order of work matters here, not the numbers.

Account deactivated and funds on hold?

Send us the case and we will tell you plainly whether the appeal or the funds track is the right next step.

When a dispute is worth discussing with an attorney

Not every stuck case is a legal case. In many, the evidence does not exist or the honest root cause cannot be defended. A conversation with counsel is worthwhile when all three of these hold.

  • The ordinary channels are genuinely exhausted. The account appeal has been worked properly, with changes between submissions, and the funds appeal has been sent and answered.
  • The stakes justify a formal step. The amount or the account value is material relative to the likely cost.
  • A real, arguable dispute remains. You can point to a specific term of the agreement or policy and a documented fact that suggests Amazon acted outside it, not just that the outcome feels unfair.

If any one is missing, the better step is more work on the appeal, a shift from reinstatement to funds release, or an honest close.

Document everything, because the record decides every outcome

Whether the case ends in reinstatement, a funds release or a talk with counsel, the same record does the work. Keep the notices, a dated copy of the agreement and cited policies, every appeal and reply, payments and disbursement history, genuine business documents and a one page factual timeline. Never alter a document to make it look better. If a genuine document cannot be obtained, say so plainly and explain what you do have. An honest gap is recoverable. A fabricated document is not.

Common mistakes that weaken a seller’s position

  • Threatening legal action inside an appeal. Reviewers decide whether the root cause is understood and fixed. Threats do not answer that, and they crowd out the content that would.
  • Filing in a local court. A local lawsuit over an account or balance invites a fight about where the case belongs before anyone looks at the merits.
  • Missing the funds window. Put the 60 day funds date on the calendar the day the account is deactivated.
  • Resubmitting the same appeal. Every submission joins the file, and repetition shows the problem is not understood.
  • Cleaning up documents. An edited invoice or recreated record destroys the credibility of the whole file. Send genuine documents and explain honestly what cannot be obtained.
  • Expecting a guaranteed outcome. No appeal, funds request or arbitration comes with a guaranteed result, amount or date.

A routine that protects you before anything goes wrong

Sellers in the strongest position in a dispute kept records before they needed them.

  1. Monthly. Check Account Health and Performance Notifications, and save any warning as a dated copy.
  2. Monthly. Export payments and disbursement reports so you have a history of balances that predates any hold.
  3. Quarterly. Save a dated copy of the agreement and key policies.
  4. At every purchase. File genuine supplier invoices by ASIN so a supply chain question can be answered the same day.
  5. On any notice. Start the record, read the cited policy, diagnose before writing, and diarize day 60.

Frequently Asked Questions

Can I sue Amazon for suspending my seller account?

Generally not in an ordinary court. The Business Solutions Agreement requires binding arbitration of disputes on an individual basis, with narrow exceptions for qualifying small claims and certain intellectual property and counterfeit matters.

What do I have to do before starting arbitration?

You must send a letter to Amazon’s registered agent, CSC, stating your intent to pursue arbitration and describing your claim. The address is printed in Section 20 of the agreement.

How long does arbitration with Amazon take?

The agreement states a timeline only for expedited cases seeking money only under $50,000, where the hearing will be scheduled within 90 days of the arbitrator’s appointment. No total duration is stated for other cases.

How much does arbitration cost?

The agreement says the AAA commercial fee schedule governs filing, administration and arbitrator fees. Check the AAA’s current schedule and ask an attorney for a full estimate, including legal fees.

Can I get my held funds without winning my appeal?

Amazon’s funds policy lets you separately appeal by emailing disbursement-appeals@amazon.com any time after 60 days from deactivation. Remaining funds, less offsets, are released after Amazon’s review, unless the policy’s permanent withholding cases apply.

Can I use small claims court instead?

The agreement lets either party elect small claims in a Governing Court if the claims qualify. For US sellers that points to King County, Washington, where state law caps small claims at ten thousand dollars for individuals and five thousand dollars for other claimants.

Do I need a lawyer for arbitration?

Arbitration is binding with limited court review. Speak with a licensed attorney before sending a notice letter or filing anything.
