How to Tell a Final Amazon Permanent Deactivation From One You Can Still Appeal

By May 5, 2026November 2nd, 2026No Comments26 min read

Quick answer. A permanent deactivation on Amazon means your selling privileges have been removed and your appeal has been decided against you, with no further review offered. The Business Solutions Agreement lets Amazon suspend or terminate an account and says Amazon will notify you of the reason and any options to appeal. A decision is final when the notice says so, Account Health no longer offers an appeal, and the denials rejected the substance of your case. Even then, you can direct Amazon to return or dispose of FBA inventory, and you can separately appeal for withheld funds once 60 days have passed since deactivation. Opening a new account without approval breaks the multiple account rules.

Few messages land harder than the one that says the appeal is over, and most sellers then make one of two mistakes. Some assume every denial is final and walk away from an account that could still be recovered. Others refuse to accept a decision that is final, keep sending the same appeal, and then open another account, which adds a second violation to the first.

Below is what Amazon’s words mean, how to read a notice for finality, where to check the facts, what is still possible after the account is gone (money, inventory, records, and legal routes in general terms), and why a new account without Amazon’s approval is a violation in its own right. There are no workarounds here, because none help.

What “final” means on Amazon, and what it does not

Amazon does not publish a label called “permanent deactivation.” Sellers use the phrase for a combination of facts, namely privileges removed, an appeal reviewed and refused, and no further review offered. Start with the contract.

What the Business Solutions Agreement allows

The Amazon Services Business Solutions Agreement is the contract every seller accepts at registration. Section 3, Term and Termination, gives Amazon several routes. Amazon may terminate an account for convenience with 30 days’ advance notice. It may suspend or terminate immediately if it determines any of the following. You materially breached the agreement and failed to cure within 7 days of a cure notice (a period Amazon may reduce or waive where the breach exposes it to liability toward a third party). The account has been or may be used for deceptive, fraudulent or illegal activity. Your use of the services has harmed or might harm other sellers, customers or Amazon. Your Account Health Rating has fallen below the published threshold for deactivation. Or the law requires it.

Separately, the Account Health Rating program policy says a red score (99 or lower) means the account is “either eligible for deactivation or already deactivated,” so a score shows risk, not whether an appeal is open. Section 3 also says Amazon will promptly notify you of a termination or suspension by email or through Seller Central, “indicating the reason and any options to appeal,” unless Amazon believes that information would hinder an investigation of deceptive, fraudulent or illegal activity or help you circumvent its safeguards. That is the most important sentence in this article. The notice is where Amazon tells you whether an appeal option exists, and if it does not mention one, that is information, not an oversight.

What termination does not end

Section 3 also says that on termination you remain responsible for obligations from transactions entered into before termination and for liabilities that accrued before or because of it. Several sections, including payment and dispute resolution, survive. A final decision closes the selling relationship, not the books.

Suspended, deactivated and denied are not the same thing

Sellers use these words interchangeably, but some describe the state of the account and one describes the outcome of a review.

How to tell a final decision from one you can still appeal

Decide from the record, not from how the notice feels. Three checks settle most cases.

Read the notice line by line

Open every message about the deactivation, in Seller Central and in the registered email inbox, and copy the exact wording into one document with dates. For each, note the reason given, the policy named, any appeal option, and any statement about finality or about further messages not being reviewed. Amazon’s wording varies between cases and changes over time, so work from your own notices, not a template you saw online. A notice that gives a reason and an appeal route means the matter is open.

Check what Account Health offers

Amazon’s page on how to appeal an account deactivation sets out the route. In Seller Central go to Account Health, click Reactivate your account at the top of the page, follow the instructions, and submit. You may be asked to complete a questionnaire, acknowledge a violation, complete a quiz, or provide supporting documents. If Amazon has asked for more information, click View Appeal from Account Health to send it. Amazon says to expect a reply to an appeal within two days. If those controls are present for your deactivation, the matter is still open. If the deactivation shows with no appeal control and the latest notice states finality, the ordinary route has closed for that matter.

Count what has already been rejected

List every appeal with its date, contents and response. A denial that asks for specific documents is an invitation, not a closure. Several denials rejecting the same underlying fact, followed by a statement of finality, mark a closed case.

Why a denial is not always the end. Fixable versus exhausted

After a string of denials, ask whether the appeals failed because the case was weak or because it cannot be won. Those are different problems.

Reconstruct what each denial rejected

Lay the appeals side by side. For each one, write what you claimed, what evidence you attached, and what Amazon’s response objected to. Amazon’s guidance to complete an appeal questionnaire spells out what reviewers look for. Be clear, concise, factual and direct. Explain all issues and the root causes behind them. Give specific actions taken, with dates of changes or documentation. Submit evidence for all products or ASINs under review, which are listed at the bottom of the original notification. Check the timeframe requested for documents, since some products require invoices from the last 365 days. Highlight the parts of documents that matter, such as ASINs and supplier names. Most denials of fixable cases trace to one of those points, such as an appeal that described the business instead of the cause, covered some ASINs and not others, listed actions without dates, or attached invoices outside the requested window.

Handling problems versus substance problems

A handling problem means the facts support reinstatement but the appeals did not show it. The goods were genuine, but the invoices did not cover every ASIN, or a real fix was described as “we will do better” with no contract or date. A rebuilt appeal that fixes each named defect can succeed where the weak ones failed.

A substance problem means the facts do not support reinstatement. The goods cannot be traced to a legitimate source, or the business model depended on something the policy forbids. No appeal fixes that, and recognizing it early saves money.

The special damage of an integrity problem

If any earlier submission contained an altered or misleading document, Amazon has reason to doubt everything else you send, and recovery is unlikely. Never “clean up” a document or replace it with a better looking version. If genuine records cannot be obtained, say so plainly and explain what you can prove.

A worked example, with hypothetical figures

A hypothetical seller is deactivated for authenticity complaints on 14 ASINs. The first appeal blamed a competitor. The second attached invoices for 9 ASINs, dated 18 months back. The third repeated the second. None had recent invoices covering every ASIN or a root cause inside the seller’s process. Genuine recent invoices for all 14 plus a real sourcing change would make a fourth appeal materially different. If 5 ASINs have no reachable supplier, the appeal should say those cannot be supported.

What a materially different appeal contains

A last appeal on a fixable case has three parts. The root cause is the specific failure inside your operation that produced the violation, stated in one or two sentences. The corrective actions already taken are each dated and backed by proof, such as a removed listing, a refunded order, a new supplier agreement or a retrained team. The preventive controls are the checks that stop the same failure recurring, each with a named owner, a frequency and a start date. If you cannot honestly write all three, the case is not ready, and sending it adds another denial to the record.

What still remains possible after a final decision

A final decision ends the ordinary appeal for the account. It does not end your rights to your own inventory or to money that is genuinely yours, and it does not end Amazon’s claims against you for what you owe.

Held funds and the separate disbursement appeal

Amazon’s funds disbursement eligibility policy covers money in a deactivated account. If Amazon deactivates the account under Section 3 of the agreement and determines your actions may create risk to Amazon or third parties, it may withhold funds in the account. Those funds may be used to cover liability and offset amounts you owe, which the policy lists as product returns or refunds, A-to-z claims, inventory removal costs, outstanding fees, and monetary and non-monetary damages. If an appeal reinstates the account, funds are released on your normal disbursement schedule.

For a final decision, one provision matters most. The policy says that even if your appeal is not decided in your favor, or you choose not to appeal, you can separately appeal for withheld funds by contacting disbursement-appeals@amazon.com at any point after 60 days from the date the account was deactivated. Amazon says it will release remaining funds, less any offsets, after evaluating the account for deceptive, fraudulent or illegal activity and confirming your identity. It may ask for information about your identity, financial instruments or supply chain, and may validate that information with third party services or government agencies. If Amazon finds deceptive, fraudulent, harmful or illegal activity, abuse of its systems or repeated violations, or cannot confirm identity, it may permanently withhold payments.

The agreement likewise lets Amazon withhold payments while it determines risks persist, offset amounts owed, and permanently withhold where an account was used for deceptive, fraudulent or illegal activity, while offering an avenue to appeal that decision. Our separate guide on getting held funds back after a suspension covers the funds process in more depth.

Prepare the funds appeal as carefully as an account appeal, with identity and bank details that match the account and genuine supply chain records. Amazon does not commit to a release date, and the amount is net of offsets.

Inventory still in Amazon’s fulfillment centers

The FBA Service Terms inside the Business Solutions Agreement say that, after termination, Amazon will, as you direct, return to you or dispose of the units it holds. If you do not direct Amazon within fourteen days after termination, or as otherwise specified in Program Policies, Amazon may elect to return or dispose of the units itself, and the terms say you agree to that. Section F-7 adds that you may request return or disposal at any time, and that Amazon may return units to you with notice, sent to your designated shipping address, with special handling where that address is outdated or the return cannot be paid for.

Amazon’s remove inventory overview sets out how removals work. A per item fee applies by weight band. Amazon says it typically processes removal orders within 10 to 14 business days, and during the holiday season processing may take 30 days or more. Returns ship only to you, your warehouse, your supplier or your distributor, never to PO, APO, FPO or DPO boxes or to another fulfillment center, and inventory classified as non-transportable dangerous goods can only be disposed of. Once a removal order is created, its address cannot be changed, so confirm the address before you submit.

If you can still create removal orders, do it early and record each order number. If you cannot, give Amazon written instructions through the channel your notice or Seller Central provides, and keep a dated copy.

Obligations that continue

Customers who bought before deactivation can still return items and file claims, and those costs come out of withheld funds. Answer what you can still see, and keep a ledger of every deduction to check the final release figure.

Records you must keep

A closed account still produced taxable sales. The IRS page on how long to keep records sets the general period at 3 years, with longer periods in specific cases. It is 6 years if income was left out and the omitted amount is more than 25 percent of gross income shown on the return, 7 years for a claim for a loss from worthless securities or a bad debt deduction, at least 4 years for employment tax records, and indefinitely if no return is filed or a return is fraudulent. Keep the Amazon settlement reports, invoices, notices and appeals with your tax records. Your accountant will need them, and so will any lawyer you consult.

A working order for the weeks after a final decision

When the answer is final, sequence matters. These steps follow the dates in Amazon’s own documents and protect records and assets first.

Why opening a new account without approval is a violation

Almost every seller with a final decision asks whether they can start again under a new account. Under Amazon’s published rules you cannot open another account to keep selling, and trying usually adds a second violation to the first.

What the code of conduct says

Amazon’s selling policies and seller code of conduct list the rules every seller accepts. One is that sellers must not operate more than one selling account on Amazon without a legitimate business need. You may maintain only one Seller Central account for each region in which you sell, unless you have a legitimate business need to open a second account and all of your accounts are in good standing. If any of your accounts are not in good standing, Amazon may deactivate all of your selling accounts until all accounts are in good standing.

A legitimate business need is only half the test. The other half is that all accounts are in good standing. A finally deactivated account is not, so a replacement fails before it lists a product.

The legitimate business need is not an escape hatch

Amazon’s examples of a legitimate business justification are owning multiple brands with separate businesses for each, manufacturing for two distinct companies, or being recruited for an Amazon program that requires separate accounts. None describes a deactivated seller selling the same products under a new name, and presenting it that way breaks the rule to provide accurate information.

Why it backfires

The code of conduct says violations can lead to cancellation of listings, suspension or forfeiture of payments, and removal of selling privileges. An unapproved replacement account puts its own funds and inventory at risk and turns a closed case into a record of circumvention. Our guide on whether you can have multiple Amazon seller accounts explains the approval route for sellers who genuinely need more than one account, and our article on buying Amazon seller accounts covers why a purchased account is not a way around a deactivation either.

What the honest options are

If the original account has a viable appeal, put the effort there. Rushing a second appeal is also a common mistake, and our guide to how long appealing on Amazon takes explains the timing. If no appeal remains, the honest options are an exit that recovers inventory and money, a genuinely independent business that meets Amazon’s conditions, or the agreement’s dispute route. We will not help build a disguised account. Our list of things never to do after a suspension covers related mistakes.

Legal routes, in general terms

This section is not legal advice. If you are considering any legal step, speak to a lawyer licensed in your jurisdiction.

What the agreement says about disputes

The Dispute Resolution section of the Business Solutions Agreement says that Amazon and the seller both consent that any dispute or claim relating to the agreement or the use of the services will be resolved by binding arbitration rather than in court. It lists exceptions. Either party may proceed in a small claims court that is a governing court if the claims qualify. Either party may sue in the governing courts to stop infringement or other misuse of intellectual property. Amazon may bring claims about counterfeit sales in the governing courts or the court of the seller’s domicile. Disputes proceed only on an individual basis, not as a class or representative action, and an arbitrator may award relief only with respect to an account you registered or services you elected to use.

Section 2 of the Federal Arbitration Act, at 9 U.S.C. 2, says a written arbitration provision in a contract involving commerce is valid, irrevocable and enforceable, save on grounds that exist at law or in equity for revoking any contract. Whether any such ground applies to you is a question for your lawyer.

How arbitration under the agreement works

The agreement says there is no judge or jury and court review of an award is limited, but an arbitrator can award the same relief as a court. Before starting, the seller must send a letter of intent describing the claim to Amazon’s registered agent named in the agreement. The American Arbitration Association conducts it under its commercial rules. Expedited procedures apply only to purely monetary claims under $50,000, with the hearing within 90 days of the arbitrator’s appointment. Check the current agreement, because Amazon updates it.

When a lawyer’s review is worth it

Arbitration has costs and no guaranteed outcome. It tends to make sense only when Amazon’s channels are exhausted, a real dispute remains, and the stakes justify it, such as large withheld funds. Many final decisions do not meet that test. If you consult a lawyer, bring the organized record of notices, appeals, funds and inventory. Our article on how to sue Amazon covers the background.

Frequently Asked Questions

What does permanent deactivation on Amazon mean?

It means selling privileges have been removed and Amazon has decided against the appeal without offering further review. Amazon’s help pages do not list it as a separate status. It describes a deactivation where the ordinary appeal route has closed.

How do I know if Amazon’s decision is final?

Check three things. Does the latest notice state that the decision is final or that further appeals will not be reviewed? Does Account Health still show Reactivate your account or View Appeal for that matter? Did your denials reject the substance of your case, or ask for more information?

What is the difference between suspended, deactivated and denied?

Suspended and deactivated describe the account’s state, a stop to selling that may be appealed. Denied describes the outcome of one appeal. A denied appeal can still leave the account appealable if Amazon asks for more or the appeal option remains.

Can I get my money back after a final deactivation?

Amazon’s funds disbursement eligibility policy says you can separately appeal for withheld funds by contacting disbursement-appeals@amazon.com at any point after 60 days from deactivation. Amazon releases remaining funds less offsets after its review, unless it finds fraud, abuse, repeated violations or cannot confirm identity.

What happens to my FBA inventory if my account is terminated?

Under the FBA Service Terms, Amazon will return or dispose of the units as you direct. If you do not direct it within fourteen days after termination, or as Program Policies specify, Amazon may decide to return or dispose of them.

Can I open a new Amazon seller account after a permanent deactivation?

Not to replace the deactivated one. The code of conduct allows a second account only with a legitimate business need and all accounts in good standing, and Amazon may deactivate all of a seller’s accounts if any is not in good standing.

Can I sue Amazon over a final deactivation?

The Business Solutions Agreement requires binding arbitration for most disputes, with limited exceptions such as qualifying small claims. Speak to a licensed lawyer about whether any route fits your situation.

How long does Amazon take to answer an appeal?

Amazon’s appeal page says to expect a reply within two days. That is Amazon’s stated expectation, not a guarantee.

Is it worth appealing again after several denials?

Only if you can show something materially different, meaning genuine evidence that fixes each defect the earlier denials named. If the underlying problem cannot be fixed, more appeals add to the record without changing the outcome.
